    Metaplanet Extends Bitcoin Strategy to Nasdaq With $134.6M Deal

    Metaplanet is extending its bitcoin treasury strategy into the United States through a deal that will give it control of Nasdaq-listed Super League Enterprise.

    Under the definitive agreement, Metaplanet will contribute 2,100 BTC, valued at about $132.1 million, plus $2.5 million in cash. In return, it will receive 44.86 million Super League common shares priced at $3 each, along with preferred stock and warrants. The total initial investment is valued at approximately $134.6 million.

    After closing, Super League will be renamed Superplanet Inc. and become a consolidated subsidiary of Metaplanet. The Japanese company expects to own about 93.6% of Superplanet’s outstanding common stock, after accounting for existing pre-funded warrants.

    Metaplanet Builds a Second Listed Bitcoin Vehicle

    Superplanet will remain listed on Nasdaq and retain Super League’s existing gaming and media operations. The transaction is structured as a private placement rather than a reverse takeover or SPAC deal.

    The company will launch with 2,100 BTC, while Metaplanet will continue holding its larger treasury in Japan. Metaplanet currently owns 43,000 BTC and describes itself as the world’s third-largest corporate bitcoin holder. The 2,100 BTC contribution represents about 4.9% of Metaplanet’s holdings.

    “We’ve built one of the world’s largest bitcoin treasuries from Japan. Superplanet is how we build in America, the deepest capital market in the world,” CEO Simon Gerovich said.

    Metaplanet has also agreed to a five-year lock-up, underscoring its long-term commitment to the U.S. platform.

    Nasdaq and Tokyo Strategies Converge

    The structure is designed to give the consolidated group two separate listed vehicles for raising capital and accumulating bitcoin.

    Superplanet will seek funding from U.S. investors, while Metaplanet will continue accessing Japanese markets. The group expects financing that does not increase Superplanet’s common-share count to potentially increase bitcoin per share.

    Super League CEO Matthew Edelman said the company had spent the past year eliminating debt, cutting costs and simplifying its capital structure.

    “We believe bitcoin is the strongest monetary asset available for a corporate balance sheet in today’s fiscal environment,” he said.

    The number of common shares issued to Metaplanet was fixed using bitcoin’s closing price on Aug. 14 and will not change with bitcoin’s price before the transaction closes.

    The deal gives Metaplanet something increasingly sought by corporate bitcoin holders: access to another major capital market without separating the underlying treasury strategy.
